In addition, when using this Site’s particular services, you shall be subject to any posted guidelines or rules applicable to such services. Any participation in this service will constitute acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.

4. Use of Site You are granted a non-exclusive, non-transferable, revocable license to access and use www.aviaiq.com strictly in accordance with these terms of use. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
9. Indemnification
You agree to defend, indemnify, and hold harmless AviaiQ LLC, its officers, directors, employees, agents, affiliates, and third parties, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to attorney's fees) arising from:
1. Your use of or inability to use and access the Site;
2. Your violation of any term of these Terms of Service;
3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
4. Any claim that your use of the Site caused damage to a third party.
10. Governing Law
Applicable Law These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles.
Jurisdiction for Disputes Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington, in each case located in the City of Seattle and County of King, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Service in your country of residence or any other relevant country.
11. Termination
Conditions for Termination of Access We reserve the right to terminate or suspend your access to the Site, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms of Service.
Effect of Termination Upon termination, your right to use the Site will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site.
12. Dispute Resolution
Methods for Resolving Disputes In the event of any controversy or dispute between AviaiQ LLC and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
Arbitration Clauses Any dispute, controversy, or claim arising out of, or relating to, these Terms of Service or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

16. Entire Agreement
Statement that the ToS Constitutes the Entire Agreement Between the Parties These Terms of Service constitute the entire agreement between you and AviaiQ LLC regarding the use of the Site and supersede all prior and contemporaneous written or oral agreements, communications, or other understandings (if any) relating to the subject matter of the Terms.
17. Severability
Provision that Invalid Terms Do Not Affect the Validity of the Remainder of the ToS If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck, and the remaining provisions will continue in full force and effect.
18. Waiver
Statement that Failure to Enforce a Provision Does Not Constitute a Waiver of That Provision No waiver by AviaiQ LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AviaiQ LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
